Duties of the Executive and Directors
President
- Establishes the date of the Annual Meeting.
- Establishes the Agenda of the Annual Meeting which must be forwarded to the membership no less that fifteen days before the Annual Meeting. (By Laws, Article 2, Sec 3)
- Establishes the date of periodic Board meetings.
- Establishes the Agenda of periodic Board meeting which must be forwarded to board members no less than five (5) work days before the meeting. (By Laws, Article 4, Sec 8)
- Keeps in contact with the Dam Committee, CSLAP volunteer coordinator, the lake surveillance volunteer coordinator and the neighborhood association coordinator.
- Initiates periodic Association newsletters, collecting news items from Board members, volunteer coordinators and other sources.
- Appoints a Nominations Chair for yearly elections.
- The President and Treasurer have check writing privileges. Checks of more than $5000 need membership approval.
- Establishes in cooperation with the Board the dates, location and time of periodic social events of the Association such as the annual brunch and socials.
- The President takes office immediately upon election and can serve only two (2) consecutive three (3) year terms. (By Laws, Article 4, Sec 2)
- All expenses incurred as president are reimbursable by the association upon submission of appropriate documentation (receipts, etc.). (By Laws Article 4, Sec 1)
- The Association shall hold officers harmless from claims arising from actions or omissions while in the performance of his/her duties for the Association. (By Laws, Article 7)
Vice President
- The Vice President takes office immediately upon election.
- There are no term limits for the position of Vice President. (By Laws, Article 4, Sec 2)
- The Vice-President shall perform duties from time to time that may be assigned to him/her by the President. (By Laws, Article 4, Sec 9)
- The Vice-President shall perform the duties of the Presidency in the absence of the President or in the event the President is unable or refuses to act. The Vice-President shall succeed to the office of President until the next annual meeting if the office of the Presidency becomes vacant. (By Laws, Article 4, Sec 9)
- The Association shall hold officers harmless from claims arising from actions or omissions while in the performance of his/her duties for the Association. (By Laws, Article 7)
- All expenses incurred as Vice President are reimbursable by the association upon submission of appropriate documentation (receipts, etc.). (By Laws Article 4, Sec 1)
Treasurer
- Receive dues, raffle and merchandise checks and cash
- Compare address on checks with Master to identify changes
- Enter each check on Transactions Tab in FLPOA Treasury Activity file
- Prepare periodic bank deposits
- Maintain electronic checkbox on Checkbook tab in FLPOA Treasury Activity file
- Monitor PayPal account and transfer dues payments into checking as needed
- Forward list of new members to Database Manager
- Maintain record of Certificates of Deposits with bank (account #, maturity date and current value)
- Maintain record of merchandise bought and sold for purposes of determining annual net income for merchandise sales
- Prepare Treasurer’s Reports for Board as needed
- Maintain all files, records, bank statements for preparation of Annual “Audit” Statement to be presented at Annual Meeting.
- File annual federal 990-N (e-postcard)
- File annual NYS Sales Tax form
- File annual NYS Char500 form
- The Treasurer takes office within one month of being elected and can serve only two (2) consecutive three (3) year terms. (By Laws, Article 4, Sec 2)
- All expenses incurred as Secretary are reimbursable by the association upon submission of appropriate documentation (receipts, etc.). (By Laws Article 4, Sec 1)
- The Association shall hold officers harmless from claims arising from actions or omissions while in the performance of his/her duties for the Association. (By Laws, Article 7)
Secretary
- Record minutes at all Board meetings and at the Annual Meeting.
- Once the Board has reviewed the minutes from the Annual Meeting, they are included in the next newsletter after the Annual Meeting so members who did not attend can be kept up to date.
- Maintain up-to-date rooster of the Board with names, lake and permanent addresses, phone numbers and year term ends and whether serving first or second term.
- Oversee the mailing of dues notice early in the year with assistance from other Board members and volunteers.
- Send out in ‘snail mail’ all newsletters to those who do not have email capability (or choose not to provide or receive email) using addresses provided by the Database manager.
- Determine that there is a quorum at Board meetings of at least six (6) members including at least two (2) officers. (By Laws Article 5, Sec 9)
- Secretary takes office immediately upon election and has no term limits. (By Laws, Article 4, Sec 2)

Director
- Directors take office immediately upon election and shall serve for no more then two (2) consecutive three (3) year terms or until his/her successor is elected. (By Laws, Article 5, Sec 1)
- Directors serving on the Board act as fiduciaries of the membership and are entrusted to administer the affairs, business, concerns and property of the Association in an open and transparent manner with opportunities for membership input and participation while abiding by all applicable laws and regulations that govern the Association. (By Laws, Article 5, Sec 5)
- A directorship shall be deemed vacated when a director is removed from office, dies, resigns or is no longer a member in good standing of the Association. (By Laws, Article 5, Sec 6)
